BlueStone Jewellery & Lifestyle appointed Mandar Godbole as Company Secretary and Compliance Officer effective September 2, 2026. The board also approved the allotment of 29,305 equity shares to eligible employees under its Employee Stock Option Plan 2014.

The appointment follows the resignation of Paras Shah, who stepped down from the role effective June 30, 2026. Mr. Godbole is an Associate Member of the Institute of Company Secretaries of India with over 18 years of experience in corporate governance and regulatory compliance. He holds no shares in the company and has no relationship with existing directors or promoters.

The appointment was approved by the Board of Directors at its meeting held on September 2, 2026, based on the recommendation of the Nomination and Remuneration Committee. Mr. Godbole has been designated as Key Managerial Personnel in terms of Section 203 of the Companies Act, 2013 read with Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014.

Capital Structure Update

The company issued 29,305 equity shares with a face value of ₹1 each at par. This issuance increased the total issued, subscribed, and paid-up equity share capital from ₹15,27,49,400 to ₹15,27,78,705. The new shares rank pari-passu with existing equity shares and carry no lock-in period.
