Shelter Infra Projects conducted its 54th Annual General Meeting on September 28, 2026, via video conferencing through the NSDL platform, commencing at 12:30 pm and concluding at 12:56 pm.
The meeting was chaired by Sankalan Datta, chairman of the company, and conducted by Sweta Patwari, independent women director. Other board members present included Arunanshu Goswami, independent director and chairman of the Audit Committee; Kamal Kishore Chowdhury, whole time director; and Kajal Chatterjee, non-executive director. The company secretary and compliance officer, statutory auditor, internal auditor, and scrutinizer also attended the meeting.
Auditor qualifications and financial highlights
Patwari noted that the auditors expressed qualified opinions in their audit report for FY26. Two key qualifications were highlighted during the meeting.
| Qualification | Details |
|---|---|
| Lease rent liability | Liability against land taken from local municipality for 999 years not provided for under IND AS 116 |
| Actuarial valuation | Evaluation not done in FY26 as per IND AS 19; no change from previous actuarial audit report (refer note 33D of Annual Report) |
Patwari also pointed out a printing error in the Annual Report on page 25, where the contingent liability related to income tax demand for assessment year 12-13 was mistakenly stated as ₹1,169.83 lakh instead of the correct figure of ₹113,956 lakh.
Shareholder Manas Banerjee noted during the Q&A session that FY26 revenue was down 7%, with a PAT loss of ₹4.55 lakh. He also observed that the company remains debt-free and that cash from operations was positive, with the rental business continuing to provide support.
