Prime Focus Limited announced that its backed entity, Brahma AI, has raised $150 million through equity issuance led by Multiples Private Equity funds. Governance and Control Changes
Upon completion of the transaction, Prime Focus will cease to exercise control over BHL and Brahma India. Although the company’s direct and indirect shareholding on a fully diluted basis will remain above 50% at 65.67% (approximately c.66% post-dilution), voting rights will be significantly reduced. Consequently, BHL and Brahma India will no longer be classified as subsidiaries under the Companies Act, 2013, but will become associate companies.
The existing Class A Shares held indirectly by Prime Focus in BHL will be converted into Class C Shares. This conversion reduces voting rights from 89.27% to 24.99% on a fully diluted basis.
