The logistics and infrastructure company, which operates primarily along India’s eastern coast, aims to leverage this profitability to fund future expansion through a proposed ₹300 crore borrowing limit at its upcoming Annual General Meeting (AGM) on August 26, 2026.
The Board of Directors has recommended several special resolutions for shareholder consent under the Companies Act, 2013. A primary focus is the approval to borrow funds from banks and financial institutions up to an aggregate sum of ₹300 crore. This facility, which includes both fund-based and non-fund-based limits, is intended to support the company’s existing and future financial needs. The resolution requires a special vote as the proposed borrowing may exceed the aggregate of the paid-up capital and free reserves.
Additionally, shareholders will be asked to approve the revision of remuneration for Khalid Khan, Managing Director and CEO. His annual salary is proposed to increase from ₹96 lakh to ₹1.5 crore, effective April 1, 2026. The revision, recommended by the Nomination and Remuneration Committee, also includes specific perquisites such as children’s education allowance, holiday passage for family members abroad, leave travel concession, club membership fee reimbursement, and two cars with drivers. The total managerial remuneration will remain subject to the statutory limits prescribed under Sections 196, 197, and 198 of the Act.
The agenda also includes the regularization of Abdul Basith Shaikh’s appointment as Executive Director, effective April 13, 2026. His proposed remuneration is set at ₹27.04 lakh per annum. Furthermore, the Board seeks approval for an aggregate remuneration package of ₹69.04 lakh per annum for other directors, including Executive Directors Pravat Kumar Nandi, Parbati Priya Nandi, and Non-Executive Director Bushra Khan. This aggregate amount exceeds one percent of the company’s net profits, necessitating shareholder approval under Section 197(1).
