RCC Cements Limited secured shareholder approval to borrow up to ₹200 crore and diversify into consumer electronics during its Extraordinary General Meeting (EGM) held on July 17, 2026. The meeting, convened at the company's registered office in New Delhi, addressed nine resolutions aimed at updating its corporate governance framework and expanding its business operations. These approvals are critical for the company to manage its capital structure and enter new markets.

The shareholders passed special resolutions to adopt a new set of Memorandum of Association and Articles of Association. These documents were updated to align with the provisions of the Companies Act, 2013, and include specific alterations to the object clause. The alteration enables the company to undertake a new line of business in areas including consumer electronics, mobile phones, mobile accessories, computer hardware, and allied products.

Governance reforms included the approval of borrowing powers under Section 180(1)(c) of the Companies Act, 2013. The board is authorized to borrow monies, provided the aggregate outstanding borrowings, excluding temporary loans obtained from bankers in the ordinary course of business, do not exceed ₹200 crore at any point in time. The company also received authorization to make investments, extend loans, provide guarantees, or offer securities in connection with loans under Section 186, up to an aggregate amount not exceeding ₹50 crore.

Shareholders approved transactions under Section 185 and material related party transactions for the financial year 2026-27. The board is authorized to advance loans or give guarantees to persons or body corporates in whom any director is interested, up to an aggregate amount not exceeding ₹25 crore. Additionally, material related party transactions for FY27 were approved for an aggregate value not exceeding ₹25.60 crore.

The board composition was altered with the regularization of two additional directors. Mr. Faizal Bavaraparambil Abdul Khader (DIN: 07729191) was appointed as a Non-Executive Non-Independent Director, liable to retire by rotation. Mr. Shatrughan Sahu (DIN: 00343726) was appointed as a Non-Executive Independent Director for a term of five consecutive years commencing from April 21, 2026.
