Vecima Networks Inc. has agreed to sell the assets of its Telematics mobile and fixed-asset tracking segment, including its Nero Global Tracking software, to Lantronix Inc. for approximately CAD$16.5M. The all-cash transaction includes CAD$14.5M payable at closing and an additional CAD$2.0M payable by year-end 2026, subject to customary working capital adjustments. This asset sale is expected to close in the near term, subject to customary closing conditions, allowing Vecima to sharpen its focus on its core broadband and video markets while providing Lantronix with a proven SaaS application layer.
The acquisition adds approximately $5.3 million of total revenue, including $4.5 million of annual recurring revenue (ARR), and approximately 125,000 asset tags under management. The business being acquired generates gross margins in the high-60% range. This move increases Lantronix’s Software & Services mix to more than 10% of total company revenue, expanding its critical infrastructure monitoring vertical and accelerating its shift toward higher-margin, recurring-revenue IoT solutions.
Nero Global Tracking brings an established North American customer base across the fleet, municipal, restoration, and industrial asset-tracking markets. The approximately 30-person IIoT team will join Lantronix, adding domain expertise in SaaS-based asset tracking, customer support, and application-layer software development. Customers and channel partners can expect continuity in service, support, and product roadmap.

He noted that the addition of Nero Global Tracking complements the company’s strength in drone and aerospace & defense businesses by expanding into critical infrastructure monitoring.
