Dell Technologies Inc shareholders overwhelmingly approved moving the company's state of incorporation from Delaware to Texas, a move CEO Michael Dell described as returning to its roots. The vote, which took place on Thursday, saw 97% of shareholders support the redomicile, aligning the company's legal home with its operational headquarters in Austin where it was founded in 1984.
"This is home and where we’ve always belonged," Dell said in a post on X, citing the state's talent, universities, and business environment. Elon Musk responded to the announcement with a single word endorsement: "Texas."

The Dell board determined in May that shifting the legal domicile to Texas better aligns with its largest U.S. employee base and longtime headquarters. The company clarified that the change will not impact its operations, strategy, management, or employee locations. James H. Lee, CEO of Texas Stock Exchange Group, highlighted the vote as part of a broader trend of companies shifting their legal domicile to the state.
Industry Trend Toward Texas
Dell joins a growing list of technology companies relocating their legal homes to Texas.
