Related Party Transaction
The agreement constitutes a related party transaction as Seednet Agri Private Limited has connections with Unisem's management. Mr. Dharanendra H. Gouda (Whole Time Director) and Mr. B. H. Devasingh Naik (Promoter) are fathers of Seednet Agri's promoters. Operational Framework
Under the agreement terms, Unisem will provide seeds, packing materials including pouches, woven bags, seed treatment chemicals, HDPE bags, and printing consumables. SAPL will handle all processing operations including unloading, weighment, verification, sampling, processing, treatment, packing, and loading of finished products. The service provider will bear all operational costs and provide adequate labor and supervision for timely completion of services.
Payment and Compliance
SAPL will submit monthly bills on the 3rd of every month, with Unisem releasing payments within 15 days through RTGS/NEFT transfer. The agreement includes provisions for machinery breakdown contingencies, insurance responsibilities, and compliance with statutory requirements. Tax deductions will be applied as per applicable norms, with taxes being paid by Unisem if applicable.
