Umiya Tubes Limited has scheduled its 13th Annual General Meeting for September 30, 2026. The meeting will be conducted through video conference or other audio-visual means.

The company issued the notice in compliance with the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The Annual Report for FY25-26 has been dispatched electronically to shareholders.

E-voting and Logistics

Remote e-voting will commence on September 27, 2026, at 9:00 am and conclude on September 29, 2026, at 5:00 pm. Voting rights are determined by paid-up capital as of the cut-off date, September 25, 2026.

Shareholders can access the voting platform via Central Depository Services (India) Limited. Once a vote is cast, it cannot be changed. The register of members will not be closed as there are no physical shareholders.

Umiya Tubes revised the notice for its 13th Annual General Meeting and appointed new statutory auditors during a board meeting on September 7, 2026. The company also changed the scrutinizer for the upcoming vote.

The Board of Directors met on September 7, 2026, from 10:30 am to 11:05 am. The directors approved the revision of the AGM notice, which will now be held at 3:00 pm instead of the previously scheduled 11:30 am. The meeting date remains Wednesday, September 30, 2026, and will continue to be conducted via Video Conferencing or Other Audio Visual Means (OAVM).

Auditor and Scrutinizer Changes

The board appointed M/s. A. H. Mandaliya & Associates, Chartered Accountants (FRN: 146705W), as the Statutory Auditors for a period of five years. Their tenure will run from the conclusion of the ensuing AGM until the conclusion of the 18th AGM, subject to member approval. The firm has over 10 years of experience and is not related to any directors.

Additionally, the company replaced the voting scrutinizer. M/s. Malay Desai & Associates, Practicing Company Secretary based in Ahmedabad, was appointed to oversee the remote e-voting process and voting at the AGM, replacing the previously appointed firm.

Voting Eligibility

Shareholders holding shares as of September 25, 2026, remain eligible to vote. The disclosures were made pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
