The new entity, provisionally named Workmates US Inc., will focus on providing services related to cloud migration, modernization, operations, and optimization, alongside cybersecurity, managed services, data, and artificial intelligence solutions.

The subsidiary will be a related party of the company, though the promoter or promoter group holds no other interest in the entity. The incorporation is subject to approval from the concerned ministry in Delaware. The company stated that the entity is yet to commence business operations and will be established after obtaining all requisite regulatory approvals.

The acquisition involves 100% subscription to the share capital of the wholly owned subsidiary via cash consideration. The contribution to the initial share capital will be made at face value. The timeline for completion is contingent upon the successful incorporation of the subsidiary in Delaware.
