The proposed limit for FY27 represents 14.36% of the company’s annual consolidated turnover for FY26. The Audit Committee has approved these transactions, noting they are conducted at arm’s length pricing in the ordinary course of business.

Director Re-appointment and Cost Audit

Shareholders will also vote on the re-appointment of Mr. Navin Juneja as a director. Mr. Juneja, who serves as the Group CFO, retires by rotation but is eligible and offers himself for re-appointment. He attended all four board meetings held during FY26.

Furthermore, the AGM will ratify the remuneration of M/s Vijender Sharma & Co. as Cost Auditors for FY27. The approved remuneration is ₹1.75 lakh, exclusive of applicable taxes and out-of-pocket expenses.
