The Board may increase the buyback price and decrease the number of shares one working day prior to the record date, ensuring no change in the total buyback size, in terms of Regulation 5(via) of the SEBI Buyback Regulations. The tender offer is open from Thursday, September 10, 2026, and closes on Thursday, September 17, 2026. The last date and time for receipt of completed tender forms and other specified documents by the Registrar to the Buyback is 5:00 pm (IST) on September 17, 2026.

Shareholders are allocated entitlements based on two categories:

  • Reserved category for Small Shareholders: 9 Equity Shares for every 157 Equity Shares held on the Record Date (actual entitlement ratio: 5.7330888703%).
  • General category for all other Shareholders: 21 Equity Shares for every 1,108 Equity Shares held on the Record Date (actual entitlement ratio: 1.895335370%).

Promoters and members of the promoter group have expressed their intention to participate in the buyback. They intend to tender up to an aggregate of 5,69,584 equity shares. GFL Limited, the largest promoter entity, intends to tender 3,33,646 shares. Ajay Kumar Bijli and Sanjeev Kumar plan to tender 1,14,767 and 86,593 shares respectively.

A dedicated "Buyback Committee" has been constituted with delegated powers to manage the process. Murlee Manohar Jain, SVP – Company Secretary & Compliance Officer, serves as the compliance officer. DAM Capital Advisors Limited has been appointed as the Manager to the Buyback, and KFin Technologies Limited acts as the Registrar to the Buyback.

Corrigendum Details

On September 4, 2026, the company issued a corrigendum to its original public announcement dated September 1, 2026. The update clarifies details regarding director share transactions and corrects the company’s official website address from www.pvrintox.com to www.pvrcinemas.com .
