Kothari Products Ltd has closed the trading window for dealing in its shares for designated persons, effective October 1, 2026. This closure will remain in force until the end of 48 hours after the company declares its financial results for the quarter and half year ended September 30, 2026.

The company announced that the board meeting for the declaration of financial results for the quarter and half year ended September 30, 2026, is scheduled for November 13, 2026. The trading window will reopen 48 hours after this declaration.

This action follows clarifications issued by the Bombay Stock Exchange and the National Stock Exchange regarding the closure of trading windows prior to the announcement of material price-sensitive information.

Kothari Products has scheduled its 42nd Annual General Meeting for September 30, 2026, to approve its financial results for FY26. The meeting will be conducted via video conferencing at 11:30 am.

The company has uploaded its Annual Report for FY26 on its website. Shareholders without registered email addresses have been sent physical letters with the web link, complying with Regulation 36(1)(b) of the SEBI Listing Regulations.

Financial Performance

Kothari Products reported a consolidated net profit of ₹332 crore for FY26, a significant turnaround from a net loss of ₹940 crore in FY25. Consolidated revenue from operations grew 5.4% year-on-year to ₹10,098 crore, driven by growth in both trading and real estate segments.

Standalone revenue rose 8.2% to ₹3,285 crore. Standalone net profit fell 34.6% to ₹349 crore from ₹533 crore in the previous year, impacted by lower other income and higher provisions for credit losses.

Segment Performance

The trading division contributed ₹99,693 crore to consolidated revenue, while the real estate segment added ₹1,235 crore through land sales. Exports accounted for ₹6,714 crore of consolidated revenue, up from ₹6,238 crore in FY25.

The board did not recommend any dividend for FY26, aiming to conserve resources for future business diversification into manufacturing.

Corporate Governance

Smt. Poonam Acharya retires by rotation at the upcoming AGM and has offered herself for re-appointment. The company held six board meetings during FY26. Statutory auditors M/s G.M. Kapadia & Co. issued an unqualified opinion on the financial statements.

What the Numbers Show

The divergence between standalone and consolidated results highlights the impact of associates. While standalone profits declined due to higher credit loss provisions (₹300 crore vs nil in FY25), the consolidated bottom line turned positive largely due to a ₹299 crore share of profits from associates, primarily SPPL Hotels Pvt Ltd, which reported a profit of ₹348 crore.
