Jagran Prakashan has disclosed that its subsidiary, Jagran Media Network Investment Private Limited, has filed an appeal before the Supreme Court. This legal action challenges an order passed by the National Company Law Appellate Tribunal (NCLAT) on May 26, 2026. The development is significant as it concerns the implementation of a resolution passed during an Extraordinary General Meeting (EGM).

The NCLAT order had specifically directed that the implementation of the EGM resolution dated May 29, 2026, be kept in abeyance. This stay remains in effect until the outcome of Company Petition No. 64 of 2023 is determined. The filing of the appeal marks the company's effort to seek relief against the tribunal's directive.

The appeal is currently listed for hearing on July 24, 2026, before the Hon'ble Supreme Court. The company has stated that it will provide further disclosures only upon the occurrence of a material development in the ongoing proceedings.

The disclosure was made under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015. This regulation mandates immediate disclosure of material events that could impact the company or its shareholders.

The Supreme Court has directed Jagran Prakashan Limited to deposit an adjudicated award amount of ₹14.25 lakh within four weeks. The order, dated July 15, 2026, arises from ongoing litigation concerning employees Amar Kumar Singh and Kishan Lal. The court clarified that this deposit is not a concession by the company and does not bind any pending proceedings.

The litigation involves claims filed under the Working Journalists and Other Newspaper Employees (Conditions of Service) and Miscellaneous Provisions Act, 1955. The disputes are related to the Dainik Jagran newspaper establishment in Noida. While the Labour Court in Noida has awarded a specific quantified amount for the claim involving Amar Kumar Singh, the proceedings for Kishan Lal have not yet concluded, and no amount has been awarded in that matter.

Financial Implications and Court Directives

The court mandated that upon deposit, the registry must place the funds in a short-term fixed deposit. The successful party will be entitled to receive the amount along with accrued interest. The court rejected the prayer sought by the respondent workmen for the release of the amount at this stage.

Jagran Prakashan stated that it does not foresee any material impact on its business operations from these matters, except for the specific amount to be deposited. The company disclosed this information to the exchanges in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
