India Homes will hold its 39th Annual General Meeting on Friday, September 25, 2026, at 2 pm (IST) through Video Conferencing or Other Audio Visual Means. The meeting features significant special business including a proposed ₹55 crore investment in Level Enterprises LLP and the approval of omnibus related-party transactions.

The company notified the Bombay Stock Exchange of the meeting details on August 29, 2026. In compliance with Ministry of Corporate Affairs and SEBI circulars, the Notice of the AGM along with the Annual Report for FY26 was sent electronically to members with registered email addresses on September 1, 2026. A newspaper advertisement regarding the electronic dispatch was published in Free Press Journal and Navashakti on September 3, 2026.

Special Business Agenda

The most prominent item on the agenda is the proposed investment in Level Enterprises LLP. The company seeks shareholder approval to make an investment and capital contribution of up to ₹55 crore to acquire up to 99% partnership interest in the LLP. Currently, the LLP’s total capital contribution is ₹1 lakh, held entirely by Managing Director Varun S. Gupta and Joint Managing Director Siddharth S. Gupta.

Additionally, shareholders are asked to approve material related-party transactions for FY27 and FY28 with various promoter-linked entities. The omnibus approval covers transactions up to ₹50 crore each with entities such as Khamgaon Land Development, Leap India Institute, Isinox Limited, Isistar Exports, Isicom Traders, Yeotmal Land Development, Isimetals India, Isisales India, Isiworld Steels, India Steel International, Harbour View Realty, Watertight Developers, Airtight Developers, Leap India Brand Hub Services, Level Constructions, and Gupta Housing Private Limited.

A separate resolution seeks approval for Executive Chairman Sudhir H. Gupta to enter into agreements for the acquisition of development rights for land in Wadala (up to ₹200 crore) and Chembur (up to ₹1,000 crore).

Corporate Governance Changes

The meeting will also see the appointment of M/s. CGCA & Associates LLP as the new statutory auditors, succeeding Laxmikant Kabra & Co LLP which completes its second term. The proposed remuneration for CGCA & Associates is ₹5 lakh plus taxes, compared to the outgoing auditor’s entitlement of ₹8 lakh per annum.

Managing Director Varun S. Gupta retires by rotation and offers himself for re-appointment. The board also seeks approval for transactions under Section 186 of the Companies Act, allowing investments, loans, or guarantees up to ₹100 crore.

Meeting Logistics

Members can attend and participate in the AGM through the VC/OAVM facility. The deemed venue is the Registered Office at India Steel Works Complex in Khopoli, Raigad. Remote e-voting will be available from Monday, September 21, 2026, at 9 am to Thursday, September 24, 2026, at 5 pm. The record date for determining eligibility is Friday, September 18, 2026.
