Hindustan Copper shareholders will review a Qualified Institutional Placement (QIP) of up to 9,69,76,680 equity shares and a debt issuance proposal of ₹500 crore at the company’s 59th Annual General Meeting (AGM) on September 23, 2026. The capital raise aims to fund expansion plans approved by the Cabinet Committee on Economic Affairs (CCEA).
The company has fixed September 16, 2026, as the record date for its final dividend of ₹1.86 per equity share for FY26. The Register of Members and Share Transfer Books will remain closed from September 17 to September 23, 2026 (both days inclusive), in compliance with Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Capital Raise Approvals
Shareholders are sought to approve two major capital raising mechanisms:
- QIP: Issue up to 9,69,76,680 equity shares via Qualified Institutional Placement. This utilizes the balance from the earlier 2021 resolution after the first tranche was completed.
- Debt Instruments: Authority to issue secured or unsecured non-convertible debentures/bonds up to ₹500 crore on a private placement basis within an overall borrowing limit of ₹2,500 crore.
A new QIP Committee comprising the CMD, Director (Finance), and other functional directors will be constituted to execute these issuances.

Tax and Compliance
