Hathway Bhawani Cabletel & Datacom Ltd has appointed Ravi Goyal as its Chief Financial Officer, effective July 15, 2026. The appointment was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Goyal assumes the role of Key Managerial Personnel, bringing over three decades of experience to the company.

Goyal is an MBA with over 33 years of experience in Finance & Accounts across the Telecom, Infrastructure, and Media sectors. Prior to joining the company, he held leadership positions with Dilip Buildcon Limited, Aircel Limited, Bharti Airtel Limited, and Prakash Industries Limited. His expertise includes Financial Controllorship, Financial Operations, Revenue Accounting, GST, Audit & Compliance, Process Transformation, ERP Implementations, and Business Process Automation.

Consequent to this appointment, the company has authorised the following Key Managerial Personnel for determining the materiality of an event or information and for making requisite disclosures to the Stock Exchange, effective July 15, 2026.

Hathway Bhawani Cabletel & Datacom Limited returned to profitability in the first quarter of FY27, reporting a consolidated net profit of ₹11.78 lakh for the period ended June 30, 2026. This marks a reversal from the net loss of ₹17.53 lakh recorded in the quarter ended March 31, 2026. The company's total income for the quarter stood at ₹66.48 lakh, supported by other income of ₹8.74 lakh, while total expenses were contained at ₹54.70 lakh.

The board of directors reviewed and approved the unaudited financial results at a meeting held on July 14, 2026. The meeting commenced at 03:30 p.m. and concluded at 03:55 p.m. The results were also reviewed by the audit committee. Nayan Parikh & Co., Chartered Accountants, provided the Independent Auditor's Review Report for both consolidated and standalone financial results, confirming compliance with Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

On a standalone basis, the company reported a net profit of ₹4.07 lakh for Q1FY27, a significant improvement from the net loss of ₹41.95 lakh in the preceding quarter. Revenue from operations for the standalone entity was ₹57.15 lakh. The turnaround was driven by a reduction in total expenses, which fell to ₹53.08 lakh from ₹59.95 lakh in the previous quarter. The company noted that the financial figures for the quarter ended March 31, 2026, are balancing figures derived from audited annual results and previously published unaudited year-to-date figures.

The financial results include the performance of subsidiary Hathway Bhawani NDS Network Limited, which became a wholly owned subsidiary during Q4 FY26 following the acquisition of the remaining 49% equity stake. The subsidiary reported unaudited standalone total revenue of ₹9.33 lakh and a net profit after tax of ₹7.73 lakh for the quarter ended June 30, 2026. The company operates within a single business segment as per Ind AS 108 on "Operating Segments".

Hathway Bhawani Cabletel & Datacom Limited disclosed that it has received Show Cause cum Demand notices from the Department of Telecommunications demanding license fees amounting to ₹4,130.38 lakh for various financial years between 2005-06 and 2014-15. The company has contested these demands and, based on legal opinion, believes it has strong grounds to defend itself. Consequently, no provision has been made regarding this matter in the current financial results.
