The board of Gemstone Investments on Thursday approved the re-appointment of director Santosh Kumar Dwivedi and selected a new statutory auditor for a five-year term.

The company also fixed the date for its 32nd Annual General Meeting (AGM) and approved the notice along with the Director’s Report for the financial year ended March 31, 2026.

Key Board Resolutions

The board meeting held at the registered office in Mumbai covered several governance matters. The key approvals included:

• Director Re-appointment: Santosh Kumar Dwivedi retires by rotation and offers himself for re-appointment, subject to shareholder approval at the AGM. He brings over eight years of experience in sales, marketing, and business development.
• Statutory Auditor: M/s. A. Raghavendra Rao & Associates was appointed as the statutory auditor for five years, commencing from FY27 till FY31. The firm specializes in audit, taxation, and RBI/NBFC matters.

Shareholders can participate via remote e-voting. The cut-off date for e-voting eligibility is Tuesday, September 22, 2026. Remote e-voting commences on Saturday, September 26, 2026, at 9:00 am and concludes on Monday, September 28, 2026, at 5:00 pm.

Gemstone Investments Limited announced that its shareholders have passed two ordinary resolutions through a postal ballot and remote e-voting process conducted in compliance with SEBI Listing Regulations and the Companies Act, 2013.

The voting process, scrutinized by M/s. Aarju Agrawal & Associates, saw overwhelming support for both agenda items. Shareholders voted to appoint M/s. A. Raghavendra Rao & Associates as the company’s statutory auditors and to regularize the appointment of Mr. Jiten Shani as a non-executive director.

Voting Results

The postal ballot notice was issued on July 13, 2026. Voting commenced on July 18, 2026, and concluded on August 16, 2026. The results were declared on August 19, 2026.

Both resolutions were classified as ordinary resolutions. No promoter or promoter group members held shares or cast votes during the process. All votes were cast by public non-institutional shareholders via remote e-voting.

Scrutinizer's Report

M/s. Aarju Agrawal & Associates, Practicing Company Secretaries, served as the independent scrutinizer for the ballot. The firm confirmed that the voting process was conducted fairly and transparently in accordance with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014.

The scrutinizer noted that the company engaged Central Depository Services (India) Limited (CDSL) to provide remote e-voting facilities. Notices were dispatched electronically on July 16, 2026, to members registered as of July 10, 2026. Advertisements regarding the dispatch were published in Business Standard and Mumbai Mitra on July 18, 2026.

No invalid votes were recorded for either resolution. The e-voting system was unblocked on August 18, 2026, in the presence of two independent witnesses not employed by the company.
