Seasons Textiles Limited Shareholders Approve Key Appointments at 71st AGM

Seasons Textiles Limited held its 71st Annual General Meeting (AGM) on August 4, 2025, where shareholders approved several significant appointments, reinforcing the company's governance structure and compliance measures.

Board Strengthens with Re-appointment of Sumer Singh Wadhwa

Shareholders re-appointed Mr. Sumer Singh Wadhwa as a Non-Executive Non-Independent Director, liable to retire by rotation. Mr. Wadhwa, who is related to the company's Managing Director, brings 17 years of experience in the wholesale retail trade of furnishing fabrics across India.

Mr. Wadhwa holds a Bachelor of Business Administration degree from the University of the Arts London, obtained in 2006. His extensive experience in the industry is expected to contribute significantly to the company's strategic direction in retail marketing of furnishing fabrics.

New Appointment to the Board

In addition to his re-appointment, Mr. Wadhwa was also appointed as an Additional Director (Non-Executive and Non-Independent) with effect from May 20, 2025. This appointment, subject to shareholder approval, was made to strengthen the Board of Directors and leverage Mr. Wadhwa's expertise in the field of Retail Marketing of Furnishing Fabrics.

Secretarial Auditor Appointment

To enhance its compliance framework, Seasons Textiles Limited appointed M/s. Pramod Kothari & Co., Company Secretaries in Practice, as the company's Secretarial Auditors. The firm, bearing Registration Number S2012UP197900, has been engaged for a five-year term starting April 1, 2025.

M/s. Pramod Kothari & Co. brings over 13 years of experience in Secretarial Audit Services. The firm has a strong track record of providing audit services to clients across various sectors, including Technology, Power, Manufacturing, and Financial Services. AGM Proceedings

The AGM was conducted through Video Conferencing (VC) or Other Audio Visual Means (OAVM), in compliance with the latest MCA and SEBI circulars. Out of the total 9,369 members eligible to participate as of the cut-off date (August 12, 2025), 134 members attended the meeting, including representatives from the promoter group.

The meeting, chaired by Mr. Inderjeet Singh Wadhwa, Chairman cum Managing Director, addressed four resolutions:

E-voting facilities were provided to shareholders, with the voting period extending from August 16 to August 18, 2025. Mr. Pramod Kothari, Practicing Company Secretary, was appointed as the scrutinizer for the voting process.
