Chiron Real Estate Inc. has completed the sale of seven inpatient rehabilitation facilities (IRFs) to a joint venture, unlocking $217 million in proceeds to be reinvested in higher return opportunities. The transaction targets arbitrage between public and private market valuations, allowing the company to redeploy capital while maintaining a resilient balance sheet. The assets, totaling 456,000 square feet, are 100% leased with a weighted average remaining lease term of eight years.
The joint venture was formed with a U.S. public pension fund advised by a global real estate investment management firm. An investor acquired an 85% equity interest in the JV, while Chiron retained a 15% stake and will continue to oversee asset management in exchange for a management fee. Fifth Third Securities served as the financial advisor to Chiron for the transaction.
Mark Decker, Jr., Chief Executive Officer of Chiron, emphasized the strategic intent behind the sale. "Our strategy is to be a disciplined capital allocator," Decker stated. "We intend to redeploy proceeds from these sales into higher return on capital investments while maintaining a resilient balance sheet. We will use every tool at our disposal to fulfill our mission to deliver value at the intersection of care, capital, and real estate."
The company plans to utilize the proceeds to fund its pipeline of investments, specifically the previously announced acquisition of the Pinnacle North Bethesda for approximately $176 million. The closing of the Pinnacle is expected on or before October 2026, subject to customary closing conditions and purchase price adjustments. The property is a 282,000 square foot luxury seniors housing community featuring 175 homes, including independent living, assisted living, and memory care units.
