Veedol Corporation Limited (NSE: VEEDOL) has circulated a postal ballot notice seeking shareholder approval for material related party transactions (MRPT) up to ₹650 crore with Standard Greases & Technologies Private Limited (SGTPL). The proposed transactions are intended to ensure the continuity of supply for lubricating oils, greases, and other materials required for the company's operations, as well as to facilitate the sale of lubricants to SGTPL.

The resolution is being placed before shareholders pursuant to Regulation 23 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and Section 188 of the Companies Act, 2013. The transaction period is set for one year, from August 16, 2026, to August 15, 2027. Veedol stated that the transactions are expected to be undertaken at prevailing arm's length commercial terms and are in the interest of the company.

Transaction details

The proposed MRPT involves a cumulative transaction value of ₹650 crore, broken down as follows:

Nature of Transaction Value (₹ crore)
Purchase of Goods 600.00
Sale of Lubricants 50.00
Total 650.00

The company disclosed that the value of the proposed transactions constitutes 29.97% of its annual consolidated turnover for the immediately preceding financial year (FY25), which stood at ₹2,168.54 crore. In the current financial year (FY26), Veedol reported transactions of ₹12.97 crore with SGTPL in Q2, with no transactions recorded in Q1.

Related party relationship

SGTPL is classified as a related party under Section 2(76) of the Companies Act, 2013, because Shri Durgesh S. Chandavarkar (Chairman of Veedol) and Shri Vinod S. Vyas (Director of Veedol) also serve as directors of SGTPL. The disclosure notes that neither Veedol nor SGTPL holds any direct or indirect shareholding in each other. The relationship stems from an NCLT order (C.P.(CAA)/35/MB/2026) under which Standard Greases & Specialities Private Limited (SGSPL) demerged its manufacturing business of lubricating oils and greases to SGTPL. Transactions previously conducted with SGSPL will now be entered into with SGTPL.

What the Numbers Show

The proposed transaction value of ₹650 crore is significant relative to the company's scale, representing nearly 30% of its FY25 consolidated turnover. This high concentration in a single related-party supplier highlights a dependency on SGTPL for critical inputs, particularly given that SGTPL supplies grease to the Western and Northern regions of India where Veedol does not have its own manufacturing plants. The shift from SGSPL to SGTPL as the counterparty is structural rather than operational, driven by the corporate demerger approved by the NCLT.

Voting process

Shareholders whose names appear in the Register of Members or depository beneficial owners list as on August 14, 2026, are eligible to vote. The remote e-voting facility, provided by National Securities Depository Limited (NSDL), will be open from August 21, 2026, at 9:00 am to September 20, 2026, at 5:00 pm. The results of the voting are scheduled to be announced on September 21, 2026. The Audit Committee and Board of Directors have recommended the resolution for shareholder approval.

The Notice of Postal Ballot was sent only through electronic mode on August 19, 2026, to members whose email addresses are registered with the company or its Register and Transfer Agent, Maheshwari Datamatics Pvt. Ltd., or their respective Depository Participants as on the close of business hours of August 14, 2026. Physical copies of the notice have been dispensed with in accordance with MCA and SEBI circulars.

How might Veedol's heavy reliance on SGTPL for nearly 30% of its turnover impact its pricing power and margin stability in a volatile raw material market?

What strategies is Veedol pursuing to diversify its supply chain and reduce dependency on SGTPL for lubricating oils in the Western and Northern regions?

Could the structural shift from SGSPL to SGTPL introduce new operational risks or compliance burdens for Veedol under the NCLT-approved demerger framework?

Veedol Corporation Limited reported a significant year-on-year improvement in its consolidated financial performance for the quarter ended June 30, 2026 (Q1FY27), with net profit rising 57% to ₹77.92 crore. The gain was supported by an 18% increase in revenue from operations to ₹612.47 crore, reflecting strong operational momentum across its lubricants and specialty chemicals business.

Q1FY27 Consolidated Financial Performance

The company’s consolidated revenue from operations stood at ₹612.47 crore in Q1FY27, up from ₹519.37 crore in the corresponding period of FY26. This top-line growth translated into higher profitability, with consolidated net profit after tax reaching ₹77.92 crore compared to ₹49.67 crore in Q1FY26. Pre-tax profits also expanded significantly, rising to ₹101.79 crore from ₹63.72 crore in the year-ago quarter.

Standalone results mirrored this positive trend. Standalone revenue from operations increased to ₹410.05 crore from ₹385.35 crore in Q1FY26. Standalone net profit after tax rose 60% to ₹26.18 crore, up from ₹16.29 crore in the previous year’s quarter. The unaudited financial results were disclosed pursuant to Regulation 30 read with Regulation 47 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The company published extracts of the results in The Telegraph (English) and Aajkaal (Bengali) editions on August 12, 2026. The full format of the unaudited results was filed with the stock exchanges under Regulation 33 of the SEBI LODR Regulations, as modified by Circular No. CIR/CFD/FAC/62/2016 dated July 5, 2016.

The results were certified by Rajendra Nath Ghosal, Managing Director, and Abhijit Tikekar, Company Secretary and Head – Legal & CSR. The financial data is available on the National Stock Exchange, Bombay Stock Exchange, and the company’s website, www.veedolindia.com .

What the Numbers Show

The simultaneous growth in both standalone and consolidated metrics indicates broad-based operational efficiency rather than reliance on specific subsidiaries. The 60% surge in standalone profit outpacing the 57% consolidated profit growth suggests that core domestic operations are driving the majority of the value creation. With equity share capital remaining stable at ₹3.40 crore, the entire profit growth has directly benefited shareholders, as evidenced by the sharp rise in EPS.

Will Veedol maintain this margin expansion trajectory in Q2FY27, or is the current surge driven by one-off operational efficiencies?

How will rising crude oil prices impact Veedol's input costs and pricing power in the lubricants segment for the remainder of FY27?

Does management plan to reinvest the increased cash flows into capacity expansion or R&D for specialty chemicals to sustain long-term growth?
