Varroc Engineering shareholders approved all resolutions proposed at the company’s 38th Annual General Meeting (AGM) held on August 20, 2026. The meeting, conducted through Video Conference/Other Audio-Visual Means (VC/OAVM), saw overwhelming support for key strategic and financial measures, including an increase in the overall borrowing limit and the issuance of non-convertible debentures.

The Board sought shareholder approval under Section 180(1)(c) of the Companies Act, 2013, to increase the company’s overall borrowing limit. Additionally, a special resolution was passed to approve the creation of charges on both present and future movable and immovable properties under Section 180(1)(a). Shareholders also authorized the issue of non-convertible debentures on a private placement basis, signaling planned capital raising activities to support future growth initiatives.

Financial Performance and Strategic Outlook

Chairman and Managing Director Tarang Jain highlighted that consolidated revenue for FY26 stood at approximately ₹88,905 million, marking around 9% year-on-year growth. The company reported an EBITDA margin of approximately 9.4%, while the profit before tax (PBT) margin improved by about 50 basis points to 4.3%.

The India business remained the primary anchor for growth, profit, and cash flow generation. In contrast, overseas operations faced challenges due to market weakness and customer concentration but showed early signs of recovery. Management noted that overseas electronics is expected to reach an EBITDA neutral position by the end of FY27, supported by new order wins in Romania and Thailand.

Electric Vehicle Focus

A significant portion of the company’s recent progress stems from its electric vehicle (EV) strategy. EV-related revenue contributed around 13% of total revenue in FY26. Net new business wins during the year totaled approximately ₹32.89 billion in annualized peak revenue, with roughly 65% linked to EV models. Looking ahead, Varroc outlined plans to cross revenue of ₹200 billion by FY31. This growth trajectory will be driven largely by EV-led expansion in both domestic and overseas markets, alongside investments in advanced driver-assistance systems (ADAS), driver monitoring systems, and video telematics. Capital expenditure in FY27 is expected to focus primarily on expanding capacity for EV and electronics components.

Governance and Voting Results

The AGM also covered ordinary business items, including the adoption of audited standalone and consolidated financial statements for the fiscal year ended March 31, 2026, and the declaration of a final dividend for FY25-26. Shareholders reappointed Mr. Arjun Jain and Mr. Dhruv Jain as directors liable to retire by rotation. The remuneration of the cost auditor was also ratified.

Voting participation was robust, with remote e-voting conducted from August 17 to August 19, 2026. The promoter group voted in favor of all resolutions, holding 114,589,800 shares. Public institutional investors participated actively, with voting percentages ranging from approximately 87% to 90% across different resolutions. Non-institutional public shareholders showed lower participation rates but voted overwhelmingly in favor of most proposals where they did cast votes.

A team from Vishwakarma Institute of Technology (VIT), Pune, has won Varroc Engineering 's Eureka Challenge 3.0, securing the top position for its AI-powered computer-aided design (CAD) innovation. The winning solution, titled "AI-Driven Design Intelligence for Early-Stage CAD Validation," uses artificial intelligence to identify design issues and optimization opportunities at the initial stages of product development.

The innovation is designed to help engineers reduce development cycles, improve design quality, and accelerate innovation within the mobility sector. Competition Scale and Process

The third edition of the Eureka Challenge generated significant participation from engineering students across India.
