Somnigroup International Inc. (NYSE: SGI) has completed its combination with Leggett & Platt, Incorporated in an all-stock transaction valued at approximately $2.3 billion.
The deal, finalized on August 26, 2026, includes Leggett & Platt’s existing indebtedness. Former Leggett & Platt shareholders received 0.1455 shares of Somnigroup common stock for each share held, resulting in an approximate 9% ownership stake in the combined entity on a fully diluted basis.
Financial Impact and Leverage
The transaction has reduced Somnigroup’s net financial leverage by approximately 0.2 times. At close, net leverage stands at approximately 2.8 times adjusted EBITDA. Management expects to further reduce leverage toward the midpoint of its target range of 2.0 to 3.0 times adjusted EBITDA by year-end.
Somnigroup has upsized its annual run-rate synergy target to $75 million, up from an initial estimate of $50 million. The company plans to provide further details on synergy realization during its business update call scheduled for September 2, 2026.
Accounting Adjustments
Leggett & Platt will operate as a new reporting segment within Somnigroup. Inter-segment sales will be eliminated without impacting reported segment profits.
In accordance with GAAP, Somnigroup anticipates two primary non-cash expenses:
- Approximately $50 million annually from fair value adjustments to acquired assets, primarily impacting cost of goods sold.
- Approximately $10 million annually from fair value adjustments to acquired bonds, impacting interest expense.
The company expects these items to qualify as financial adjustments under its credit facility terms.
What the Numbers Show
The acquisition significantly expands Somnigroup’s operational footprint, adding over 170 manufacturing facilities across 37 countries and more than 36,000 employees. The upsizing of synergy targets by $25 million suggests management identified greater efficiency opportunities than initially projected, potentially through deeper vertical integration of Leggett & Platt’s component engineering capabilities with Somnigroup’s existing supply chain.
How will the integration of Leggett & Platt's 170 manufacturing facilities impact Somnigroup's supply chain resilience and operational efficiency in the short term?
What specific cost-saving measures or revenue enhancements are driving the $25 million upside in the synergy target beyond initial projections?
Will the addition of Leggett & Platt's existing indebtedness constrain Somnigroup's ability to pursue further M&A activity in the near future?
