REalloys Inc. and JS Link Inc. announced the execution of a non-binding Letter of Intent (LOI) to evaluate a strategic partnership for developing an integrated North American rare earth magnet manufacturing platform. The collaboration aims to combine REalloys' rare earth supply chain, processing capabilities, and government relationships with JS Link's permanent magnet manufacturing technology and operational expertise. This initiative targets the creation of one of the first fully integrated non-Chinese rare earth supply chains, spanning feedstock, separation, metallization, and magnet manufacturing to serve the U.S. defense industrial base, aerospace, automotive, and other strategic industries.
Under the LOI, the companies intend to explore opportunities related to manufacturing, commercialization, government-supported financing programs, and strategic customer relationships. The proposed platform would leverage REalloys' upstream and midstream assets, including the Hoidas Lake rare earth project in Saskatchewan, its partnership with the Saskatchewan Research Council, and the acquisition of PMT Critical Metals. REalloys recently completed a $100 million private placement to strengthen its balance sheet and accelerate its North American growth strategy.
JS Link brings its global permanent magnet manufacturing operations in Korea and expansion plans in Malaysia and the United States to the partnership. The company focuses on supplying automotive, industrial, energy, aerospace, and defense markets while strengthening non-Chinese supply chains. The parties believe the collaboration could accelerate the development of resilient permanent magnet supply chains outside China and create long-term value for shareholders.
The LOI is non-binding and serves as a framework for due diligence and negotiations for potential definitive agreements. There is no assurance that any transaction contemplated by the LOI will be completed. The companies also plan to evaluate U.S. government financing programs and future public capital markets initiatives to support the expansion of the proposed platform.
