Rajasthan Tube Manufacturing Co Ltd has concluded its board meeting held on September 7, 2026. The directors fixed the date for the company’s 40th Annual General Meeting (AGM) and approved key governance appointments.

The board scheduled the AGM for Wednesday, September 30, 2026, at 3:00 pm. The meeting will be held at the company’s facility in Jaipur. Shareholders on record as of September 30, 2026, will be eligible to vote. The register of members and share transfer books will remain closed from September 24 to September 30, 2026.

Governance Appointments

The board approved several administrative and compliance-related decisions during the session:

• Company Secretary Appointment: Ms Mahima Soni was appointed as Company Secretary and Key Managerial Personnel with effect from September 7, 2026. She replaces Mr Saurabh Priyadarshi, whose resignation from the role was accepted effective September 2, 2026.
• Director Resignation: The board accepted the resignation of Mr Mahendra Soni from the position of Additional Director, effective August 31, 2026.
• Secretarial Auditor: The board proposed the appointment of M/s Prachi Bansal & Co. as Secretarial Auditor for five financial years, commencing FY27 and ending FY31, subject to shareholder approval at the AGM.
• Scrutinizer: Ms Prachi Bansal was appointed as Scrutinizer for the 40th AGM.

Financial Reporting

The directors approved the Board’s Report, Annual Report, and accompanying documents for the financial year ended March 31, 2026. These documents will be circulated along with the notice for the 40th AGM. The cut-off date for determining eligibility for remote e-voting is set for September 23, 2026.

Rajasthan Tube Manufacturing promoters have requested reclassification from the promoter group to the public category under Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The company filed a declaration of non-encumbrance of promoter shares with the Bombay Stock Exchange on September 7, 2026, in compliance with Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Shareholding Structure

The request for reclassification was submitted jointly by five family members currently classified as part of the promoter group. The original promoter, Mr. Harish Chand Jain, along with his sons Mr. Pradeep Jain and Mr. Saurabh Jain, hold nil equity shares in the company.

Regulatory Compliance

The promoters confirmed they are not involved in the management or day-to-day affairs of the company. They stated that they do not exercise any control over management or affairs, directly or indirectly.

The group further declared that none of them holds special rights, including voting, veto, or management rights, nor do they have the right to appoint or nominate directors. None of the individuals serve as Managing Director, Whole-time Director, or Key Managerial Personnel.

The promoters affirmed their willingness to comply with all conditions prescribed under Regulation 31A of the SEBI (LODR) Regulations, 2015. They requested the Board of Directors to consider the reclassification and make necessary disclosures to the stock exchanges.
