The board of directors of Pasupati Spinning & Weaving Mills approved an alteration to the company’s Memorandum of Association (MoA) on August 12, 2026. The move expands the firm’s operational scope beyond textiles and logistics to include the food and beverage sectors. The proposal is subject to shareholder approval at the ensuing Annual General Meeting (AGM).
The alteration inserts two new sub-clauses, numbered (6) and (7), into clause 3(A) of the Main Objects section of the MoA. These additions follow the existing sub-clause (5), which covers logistics services.
New Business Verticals
The revised MoA permits the company to engage in the following activities:
- Processed Foods: Manufacturing, processing, importing, exporting, and trading in a wide range of food products. This includes health foods, protein foods, agro foods, fast foods, poultry products, seafood, milk foods, bakery products, confectionery items, canned foods, and cereals.
- Beverages: Acting as a manufacturer, processor, importer, exporter, distiller, refiner, bottler, and distributor of all types of beverages. This covers soft drinks, concentrates, syrups, effervescent drinks, aerated water, tea, coffee, mineral water, and related ingredients.
Regulatory Disclosure
The disclosure was made pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. It also complies with SEBI Circular No. HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026.
The existing main objects of the company continue to include spinning mills, textile manufacturing, trading in yarn and fabrics, polymer processing, and logistics services. The new clauses do not replace these existing activities but add to them.
