Nestlé India Limited will convene its 67th Annual General Meeting on Friday, July 3, 2026, at 10:30 A.M. IST through video conferencing and other audio-visual means. The meeting will be held without the physical presence of members at a common venue, with the Registered Office serving as the deemed venue. The company will send the electronic copy of the notice and the Annual Report for the financial year ended March 31, 2026, only via email to members whose email addresses are registered with the company or depository participants.

The Record Date for determining entitlement of members to the final dividend for the financial year ended March 31, 2026, subject to approval at the AGM, is Friday, July 10, 2026. Members holding shares in physical form must update their KYC details, including postal address, mobile number, bank account details, and PAN linked with Aadhaar, to receive dividend payments in electronic mode. Those holding shares in demat form are requested to update their KYC details and email address with their depository participants.

Members holding shares in physical form who have not registered or updated their email addresses must submit a request letter in Form ISR-1, a self-attested copy of their PAN Card linked with Aadhaar, and a self-attested address proof to investor@in.nestle.com . The company is also sending a letter to members without registered email addresses providing the web-link to access the Annual Report.

Pursuant to the Income Tax Act, 2025, dividend income is taxable in the hands of members, and the company is required to deduct tax at source at prescribed rates. Further communication regarding tax deduction will be available in the notice of the AGM. Members participating through video conferencing using their login credentials shall be counted for the purpose of quorum under Section 103 of the Companies Act, 2013.
