Misquita Engineering has scheduled its 28th Annual General Meeting (AGM) for September 30, 2026. The Goa-based precision machined components manufacturer will seek shareholder approval for its financial results for FY26 and the reappointment of key directors.

The Board of Directors held its meeting on September 5, 2026, to finalize the agenda. The AGM is set for 4:30 pm at Dina Banquet Hall, Hotel Miramar in Caranzalem, Goa.

Financial Performance

The company disclosed a return to profitability in FY26 after incurring a loss in the previous year. Profit before tax (PBT) rose to ₹30.69 lakh in FY26 from ₹16.26 lakh in FY25, following a loss of ₹28.59 lakh in FY24. Net profit (PAT) similarly improved to ₹22.96 lakh in FY26 from ₹19.81 lakh in FY25, reversing a loss of ₹28.81 lakh recorded in FY24.

Governance and Appointments

Shareholders will vote on the reappointment of two promoters for five-year terms, subject to approval:

  • Thomas Constance Avinash Misquita as Managing Director and Chairman
  • Gail Lucia Misquita as Whole-Time Director

Both directors hold significant stakes: Thomas Constance Avinash Misquita holds 20,71,900 shares, while Gail Lucia Misquita holds 5,00,000 shares. Their current tenures expire on September 6, 2026. The proposed reappointments are effective from September 7, 2026, to September 6, 2031. There is no change in their remuneration limits, which remain capped at ₹24 lakh per annum including perquisites.

The Nomination & Remuneration Committee recommended both appointments. Additionally, the board approved M/s M B Gabhawala & Co. as Statutory Auditors for a five-year term, effective from the conclusion of the AGM.

Shareholder Logistics

The register of members and share transfer books will remain closed from September 24 to September 30, 2026. The cutoff date for determining voting rights eligibility is September 23, 2026.

E-voting will be open from September 26 to September 29, 2026. M/s Jaymin Modi & Co. has been appointed as the scrutinizer for the AGM.
