Key amendments approved
The company proposed adopting a revised set of MOA to align with Schedule I of the Companies Act, 2013. The existing MOA, based on the erstwhile Companies Act, 1956, divided objects into three parts. The new structure merges existing Clause III(C) into Clause III(B), renumbering clauses accordingly without affecting existing objects.
Additionally, the board approved inserting new objects under Clause III(A) to enable the company to undertake new business activities. These new sub-clauses cover diverse sectors including:
- Rubber, tyres, tubes, and automobile parts manufacturing and services.
- Battery materials, energy storage systems, and electric vehicle components.
- Waste processing, recycling, and green technologies including hydrogen production.
- Renewable energy modules, solar power projects, and hybrid systems.
- Fertilizers, crop nutrition products, agri-biological solutions, and animal health products.
- Mining, extraction, and processing of critical minerals such as lithium, cobalt, and rare earth elements.
The revised MOA also incorporates changes in the liability clause and capital clause to meet statutory requirements. The share capital clause specifies equity share capital of ₹70,01,00,000 divided into 70,01,00,000 equity shares of ₹1 each.

The disclosures were made in accordance with SEBI Master Circular no. Ho/49/14/14(7)2025-Cfd-Pod2/I/3762/2026 dated January 30, 2026. Ms. Stuti Pithisaria of M/s SP & SA Associates has been appointed as the Scrutinizer to conduct the postal ballot in a fair and transparent manner.
