T & I Global has issued a corrigendum to the notice for its 36th Annual General Meeting (AGM) scheduled for September 11, 2026. The update clarifies that shareholders are being asked to approve only a revision in the remuneration of Whole-time Director Mr. Viraj Bagaria, not a change to his appointment terms.

The company stated that Item No. 5 of the original notice inadvertently referred to a revision of the terms and conditions of Mr. Bagaria’s appointment along with his remuneration. The corrigendum, dated August 26, 2026, confirms that there is no modification to his existing tenure or any other terms of appointment.

Clarification on Agenda Item 5

The revised resolution under Item No. 5 seeks shareholder consent specifically for the revision of remuneration payable to Mr. Viraj Bagaria (DIN: 06628761), effective from October 1, 2026. The explanatory statement has been updated to remove references to modifying other appointment conditions.

For the avoidance of doubt, the company emphasized that all existing terms and conditions of Mr. Bagaria’s appointment, including his tenure, remain unchanged. The Board of Directors has been authorized to take necessary steps to give effect to this resolution.

Additionally, authorization under Section 186 of the Companies Act, 2013, for loans and guarantees up to ₹100 crore remains on the agenda.

Remote e-voting will commence on September 7, 2026, at 9:00 am and conclude on September 10, 2026, at 5:00 pm. CS Smita Sharma has been appointed as the Scrutinizer to oversee the voting process. Results will be declared within 48 hours of the meeting's conclusion.
