M/s. B R A N D & Associates LLP, appointed at the 22nd AGM held on September 27, 2021, will complete their mandatory five-year term at the conclusion of this AGM. The board has proposed assigning this loan receivable to Aglow Financial Services Private Limited for a consideration of ₹40,00,000, subject to finalisation of definitive documentation. Interest accrued and payable on the assigned debt is excluded from the assignment and will continue to remain recoverable by the company. Aglow Financial Services Private Limited is not a related party of the company under the Companies Act, 2013 or the SEBI LODR Regulations.
Director re-appointment
Ms. Jayalakshmi Kumari Kanukollu, who has served on the board since March 14, 2015, retires by rotation under Section 152(6) of the Companies Act, 2013 and offers herself for re-appointment. She holds a Ph.D. in Social Sciences along with postgraduate qualifications in Economics, Political Science, Hindi, and Education, and brings more than 20 years of experience in the educational sector. She currently holds no shares in the company and draws sitting fees of ₹15,000 per meeting for attending board and committee meetings.
