BharatRohan Airborne Innovations approved its annual report for the fiscal year ended March 31, 2026, during a board meeting held on September 4, 2026. The directors also scheduled the company’s 10th Annual General Meeting (AGM) for September 30, 2026.

The board reappointed M/s. SS Rawat & Co. as internal auditor and M/s. Jain Preeti & Co. as secretarial auditor for the financial year 2026-2027. These appointments were made based on the recommendation of the Audit Committee.

Corporate Governance Updates

Mr. Vijay Nadiminti was approved for re-appointment as a director, retiring by rotation. This appointment is subject to shareholder approval at the ensuing AGM.

The board also approved shifting the registered office of the company from the National Capital Territory of Delhi to the State of Haryana. This move requires approval from members at the AGM and the Regional Director of the Ministry of Corporate Affairs, Northern Region, Delhi. The change involves substituting clause II of the Memorandum of Association.

AGM Schedule and Voting Details

The company fixed September 23, 2026, as the cut-off date to determine eligibility for voting via electronic means. The remote e-voting period runs from September 27, 2026, at 9:00 am to September 29, 2026, at 5:00 pm.

Ms. Preeti Jain, Practising Company Secretary, was appointed as scrutinizer for the e-voting process. The 10th AGM will be conducted through Video Conferencing or Other Audio Visual Means on September 30, 2026, at 3:00 pm IST.

Auditor Profiles

M/s. SS Rawat & Co., led by Chartered Accountant Mr. Sunny Rawat, will conduct the internal audit for records ending March 31, 2027. Mr. Rawat has over a decade of experience in taxation, accounting, and project financing.

M/s. Jain Preeti & Co., led by Ms. Preeti Jain, will conduct the secretarial audit for the same period. Ms. Jain specializes in the Insolvency and Bankruptcy Code and regulatory compliance.

BharatRohan Airborne Innovations Ltd announced on June 29, 2026, the successful development of its indigenous snapshot hyperspectral imaging camera and the completion of a functional working prototype. Designed specifically for Unmanned Aerial Vehicle (UAV) platforms, this milestone marks a significant step in the company's journey towards building an end-to-end indigenous drone and imaging technology ecosystem. The development reduces dependence on imported technologies and strengthens control over product development and manufacturing.

The newly developed snapshot hyperspectral camera has been designed and integrated using in-house embedded processing electronics, edge computing, power and thermal management systems, payload integration and UAV-ready enclosure design. The prototype has been optimised for Visible and Near Infrared (VNIR) imaging, creating a compact and lightweight payload suitable for drone-based deployments. BharatRohan has also established a roadmap to expand its in-house capabilities beyond snapshot imaging to line-scanning (pushbroom) hyperspectral sensors.

Strengthening Indigenous Technology Development

Hyperspectral imaging captures detailed spectral information across hundreds of wavelengths, enabling the detection of chemical, material and biological characteristics not visible through conventional imaging systems. This capability allows early identification of crop stress, nutrient deficiencies and diseases in agriculture, while also supporting applications across defence, mining, industrial inspection, textile, waste management, environmental monitoring, renewable energy and pharmaceuticals.

Advancing Towards Commercialisation

Following the successful completion of the prototype, BharatRohan has commenced UAV integration and field validation activities. The company will continue refining the product through successive design iterations and real-world testing to further enhance performance, reliability and operational robustness before commercial launch.
