Automotive Axles Limited has fixed Wednesday, August 5, 2026, as the record date to determine shareholder eligibility for the final dividend for the financial year ended March 31, 2026, subject to approval at the upcoming Annual General Meeting (AGM). The company will hold its 45th AGM on Wednesday, August 12, 2026, at 3.00 P.M IST through video conference (VC) and other audio-visual means (OAVM) from its registered office in Mysuru, Karnataka. The Ministry of Corporate Affairs and Securities and Exchange Board of India have granted relaxations allowing the meeting to be held virtually without a physical venue and for documents to be dispatched only via electronic mode.
The notice of the AGM and the Annual Report 2025-26 are being sent exclusively by electronic mode to members whose email addresses are registered with the company or depositories. These documents are also available on the company’s website and the websites of BSE Limited and NSE India Limited. Members attending the meeting through VC or OAVM will be counted for the purpose of reckoning the quorum under Section 103 of the Companies Act, 2013. The company is providing both remote e-voting facilities and e-voting during the meeting for shareholders to cast their votes on all resolutions.
Shareholders who have not registered their email addresses or updated their bank account mandates for dividend receipt are advised to do so immediately. For physical shareholdings, requests must be sent to the Registrar and Transfer Agent, Integrated Registry Management Services Private Limited, using Form ISR-1. For demat holdings, shareholders must contact their depository participants to update details. The company emphasized that dividend payments will be made only through electronic mode in compliance with regulatory requirements.
Under the provisions of the Income Tax Act, 2025, dividends are taxable in the hands of shareholders, and the company is required to deduct tax at source at prescribed rates. Resident individual shareholders with a Permanent Account Number (PAN) who are not liable to pay income tax can upload a yearly declaration by August 5, 2026, to avail of non-deduction of tax at source. Non-resident shareholders can avail beneficial rates under tax treaties by submitting necessary documents, such as Tax Residence Certificates and Form 10F, by the same date. Shareholders are cautioned that if their PAN is not registered, tax will be deducted at a higher rate.
