NDR Auto Components Forms Joint Venture with Hayashi Telempu for Auto Component Manufacturing
NDR Auto Components Limited has incorporated a joint venture company, NDR Hayashi Automotive India Private Limited, with Hayashi Telempu. Rohit Relan Family Trust to Acquire 73.13% Stake in NDR Auto Components
The Rohit Relan Family Trust is set to acquire a 73.13% stake in NDR Auto Components Limited (NDRAUTO) on or after September 26, 2025. This internal reorganization involves transferring 1,73,95,361 equity shares from existing promoters to the family trust via gift deeds, without monetary consideration. SEBI has granted an exemption from open offer requirements. The transaction will not alter the overall promoter group shareholding of 73.13% or public shareholding of 26.87%. The move aims to streamline succession planning within the promoter family.

NDR Auto Components Unveils Rs 27.29 Crore Expansion Plan in Andhra Pradesh
NDR Auto Components Limited has approved a new manufacturing facility in Anantapur, Andhra Pradesh, with an investment of Rs 27.29 crore. The facility will produce frame structures for 50,000 5-seater cars and seat covers for 78,000 7-seater cars. A wholly-owned subsidiary, NDR Auto Components South Private Limited, will be incorporated to operate the facility. The company has also secured a 7,500 sq ft corporate office space in New Delhi for Rs 11.25 crore. Additionally, NDR Auto Components plans to create a CSR Trust with Bharat Seats Limited.

NDR Auto Components Limited announced impressive Q4 FY24 results, with revenue increasing 9.1% to ₹192.00 crore and net profit soaring 41.4% to ₹16.40 crore year-over-year. EBITDA rose 30.8% to ₹24.20 crore, with margins expanding to 12.59%. The company declared a dividend of ₹2.75 per share.
