CoreWeave leases AI data-center capacity to major clients such as OpenAI and Meta, operating nearly 50 facilities across North America and Europe.
The securities were offered only to qualified institutional buyers under Rule 144A or to non-U.S. persons in compliance with Regulation S under the Securities Act of 1933. These notes have not been registered under the Securities Act or any other jurisdiction and may not be offered or sold in the United States without an exemption. The company holds non-investment-grade ratings—Ba3 at Moody's, B+ at S&P, and BB- at Fitch.
