Varroc Engineering has agreed to invest up to ₹48.7 lakh in two special purpose vehicles (SPVs) promoted by AMPIN C&I Power Private Limited to secure captive solar power for its manufacturing facilities in Tamil Nadu and Karnataka. The company entered into a Power Delivery Agreement (PDA) and Share Purchase and Shareholder’s Agreement (SP&SA) with AMPIN Energy C&I One Private Limited and AMPIN C&I Power Twelve Private Limited. This strategic move will enable the company to source solar energy directly for its operations in these states under the Captive Power Scheme.
The investment involves acquiring equity shares in both SPVs through cash consideration. For the Tamil Nadu project involving AMPIN Energy C&I One Private Limited, the investment will not exceed ₹22,80,000 for the acquisition of 2,28,000 Equity Shares of ₹10 each, representing 0.44% of the equity share capital. The Karnataka project with AMPIN C&I Power Twelve Private Limited involves an investment of up to ₹25,90,000 for 2,59,000 Equity Shares of ₹10 each, representing 0.83% of the equity share capital. The transaction is not a related party transaction and is conducted at arm's length.
