Acquisition of Shopflo Technologies

During the quarter ended June 30, 2026, Pine Labs acquired a 100% equity stake in Shopflo Technologies Private Limited on a fully diluted basis from the selling shareholders, for a cash consideration of INR 88.00 crores (including deferred consideration). Shopflo is engaged in the development, deployment, operation, and commercialisation of a direct-to-consumer Checkout Platform.
