Special Business: Related Party Transactions

The AGM agenda includes two ordinary resolutions seeking shareholder consent for material related-party transactions (RPTs) with GTN Enterprises Limited and GTN Textiles Limited. These approvals are required under Section 188 of the Companies Act, 2013, and Regulation 23 of the SEBI (LODR) Regulations, 2015.

GTN Enterprises Limited

Patspin India proposes to enter into transactions valued at ₹45.00 crore with GTN Enterprises Limited over the next 15 months. GTN Enterprises is a related party because Umang Patodia, Chairman and Managing Director of Patspin India, is the brother of Ankur Patodia, Chairman and Managing Director of GTN Enterprises.

The proposed transactions include the sale, purchase, or supply of cotton and cotton yarn/waste (₹10.00 crore), buying or selling property/assets (₹5.00 crore), and availing or rendering processing charges (₹30.00 crore). The company states that engaging in these processing activities will help maximize capacity utilization and earn better margins, as Patspin India currently carries out only job work due to lack of working capital facilities.

In the previous financial year, total transactions with GTN Enterprises amounted to ₹24.72 crore (₹0.01 crore for supply/purchase and ₹24.71 crore for processing charges). In the current financial year up to the preceding quarter, transactions totaled ₹5.5 crore. The proposed ₹45.00 crore represents 97% of Patspin India’s annual consolidated turnover for the immediately preceding financial year.

GTN Textiles Limited

The second resolution seeks approval for transactions valued at ₹10.00 crore with GTN Textiles Limited. Umang Patodia serves as Chairman and Managing Director of both companies. GTN Textiles holds 46.21% shares in Patspin India, making it an associate company.

The proposed transaction involves the sale, purchase, or supply of cotton and cotton yarn/waste. The company notes that GTN Textiles commenced trading activities in the second half of FY26 and plans to step up operations in FY27. Achieving optimum capacity utilization through these transactions is expected to improve margins for Patspin India.

There were no transactions with GTN Textiles in the last financial year or the current year up to the preceding quarter. The proposed ₹10.00 crore represents 21.49% of Patspin India’s annual consolidated turnover for the immediately preceding financial year.

Related Party Proposed Value (₹ crore) % of Patspin Turnover Relationship Key Transaction Types
GTN Enterprises Ltd 45.00 97% Brother of CMD Cotton supply, asset trade, processing charges
GTN Textiles Ltd 10.00 21.49% Associate (CMD overlap) Cotton yarn supply/purchase

Other Agenda Items

Shareholders will also consider the re-appointment of Smt. Kalpana Mahesh Thakker as a Non-Executive Director, who retires by rotation. Additionally, the meeting will ratify the remuneration of M/s. Hareesh K. N. and Associates, Cost Accountants, for conducting cost audits for FY27. The approved remuneration is ₹55,000 plus applicable taxes.

What the Numbers Show

The scale of the proposed related-party transactions is significant relative to the company’s size. The ₹45.00 crore proposal with GTN Enterprises alone accounts for 97% of Patspin India’s previous annual consolidated turnover. This indicates a high concentration of future business volume with a single related party. Furthermore, the justification provided—shifting from job work to own manufacturing to improve margins—suggests a strategic operational shift dependent on these internal supply chain arrangements.
