The Board approved the audited financial statements for the year ended March 31, 2026. No qualifications or adverse remarks were noted in the statutory auditors' report or the secretarial audit report. The meeting was chaired by Shishir Jaipuria, Chairman and Managing Director.

Leadership and Directorial Appointments

Shareholders passed an ordinary resolution to appoint Saket Jaipuria as a director in place of himself, who retired by rotation and offered himself for re-appointment. Two special resolutions were also transacted:

• Confirmation of Shishir Jaipuria holding the office of Managing Director, noting he will attain the age of 70 years on April 7, 2027, during his three-year tenure effective April 1, 2026.
• Re-appointment of Suresh Singhvi as Whole Time Director for a period of one year effective August 1, 2026.

The remote e-voting facility was available from September 25, 2026, at 9:00 am to September 27, 2026, at 5:00 pm. Members who did not vote remotely could cast their votes during the AGM. The company reported a total gross sales and other income of ₹38,079.20 lakh for the year ended March 31, 2026, up from ₹37,949.64 lakh in the prior year. Net profit surged to ₹3,703.77 lakh, a significant improvement from a net loss of ₹419.53 lakh in FY25.

Financial Performance

The turnaround in profitability was driven by strong performance in continuing operations, which contributed ₹4,096.58 lakh to the net profit. This offset a loss of ₹392.81 lakh from discontinued operations.

Continuing operations generated an EBITDA of ₹6,894.67 lakh, compared to ₹3,893.95 lakh in the previous year. Discontinued operations saw a reduction in losses, with EBITDA at a negative ₹242.27 lakh versus a negative ₹884.34 lakh earlier.

Board Appointments

Shareholders will consider the reappointment of Suresh Singhvi as Whole-time Director and CFO for one year starting August 1, 2026. Singhvi, aged 72, will receive a basic salary of ₹2.70 lakh per month along with standard perquisites.

Additionally, members will vote to allow Managing Director Shishir Jaipuria to continue holding office after attaining the age of 70 years on April 7, 2027. This resolution permits him to serve out his existing three-year tenure ending March 31, 2029.

Saket Jaipuria will also retire by rotation and offer himself for reappointment as a director.

AGM Logistics and E-Voting

The AGM will be held through Video Conferencing or Other Audio Visual Means without physical presence. The electronic dispatch of the Annual Report was completed on August 31, 2026. Members can access the report via the company’s investor relations page.

Remote e-voting facility provided by CDSL will operate as follows:

• Remote e-voting commences on September 25, 2026 at 9:00 am.
• Remote e-voting ends on September 27, 2026 at 5:00 pm.
• Cut-off date for voting eligibility is September 21, 2026.
• Book closure period is from September 22, 2026 to September 28, 2026.

Mr. Jatin Gupta of M/s. Jatin Gupta & Associates has been appointed as Scrutinizer for the e-voting process. Members holding shares in physical or electronic form who have not registered their email addresses can update them via the Registrar and Share Transfer Agent, Skyline Financial Services Pvt Ltd.
