Focus Business Solution has recommended a final dividend of ₹0.10 (1%) per equity share for FY26. The Board approved the payout during its meeting on September 2, 2026. Shareholders will vote on this and other key agenda items at the 19th Annual General Meeting (AGM) scheduled for September 28, 2026.

Dividend and AGM Logistics

The dividend is subject to shareholder approval at the AGM. If approved, payment will be made to shareholders on record as of Friday, September 18, 2026. The company has fixed Monday, September 21, 2026, as the cut-off date for determining voting rights for the AGM.

M/s PSSP & Co. Chartered Auditors (Firm Reg. No. 0129147W) has been appointed as Statutory Auditor for a five-year term from the conclusion of the 19th AGM until the 24th AGM. This replaces M/s Kansariwala & Chevli, whose tenure concludes with this AGM. M/s JDM and Associates LLP continues as Secretarial Auditor for 2026-27.

Strategic Expansion via MOA Alteration

A significant special resolution involves altering the Memorandum of Association (MOA) to diversify into new sectors. The proposed changes include:

For FY25-26, the company reported a turnover of ₹2,415.89 lakh, up from ₹2,395.90 lakh in FY24-25. Net profit rose to ₹87.14 lakh from ₹74.08 lakh in the previous year. Earnings per share stood at ₹1.20 for FY25-26, compared to ₹1.61 in FY24-25.
