Bombay Cycle & Motor Agency Ltd has fixed Friday, July 24, 2026, as the record date to determine the entitlement of members to the final dividend for FY 25-26, if approved at the upcoming Annual General Meeting. The 107th AGM is scheduled to be held on Friday, August 07, 2026, at 4.00 p.m. IST through Two-way Video Conferencing and Other Audio Visual Means.
The meeting will be conducted in compliance with Ministry of Corporate Affairs Circulars, including the latest Circular No. 03/2025 dated September 22, 2025, which permits holding AGMs without physical presence. The Notice of the AGM and the Annual Report for FY 25-26 are being circulated only through electronic mode to members whose email addresses are registered with the company or depository participants.
Remote e-voting facilities will be available to members to cast votes on resolutions set out in the notice. The remote e-voting period will commence at 9.00 am on Tuesday, August 04, 2026, and conclude at 5.00 pm on Thursday, August 06, 2026. Members who have cast their votes remotely may attend the meeting but will not be entitled to vote again.
Only members whose email addresses are registered in the Register of Members as on the cut-off date of Friday, July 31, 2026, will be entitled to avail the remote e-voting facility. Voting rights will be proportionate to members' shareholding in the paid-up share capital as on the record date.
The company has stated that dividend income is taxable in the hands of shareholders under the Income Tax Act, and tax will be deducted at source at applicable rates. Members who acquire shares after the dispatch of the notice but hold them as on the record date may obtain login details by writing to the Registrar and Share Transfer Agent.
