Blue Cloud Softech Solutions has secured a three-month extension from the Registrar of Companies (RoC) to hold its 35th Annual General Meeting. The new deadline is December 30, 2026, allowing time to finalize a proposed acquisition of a US-based healthcare entity.

The company applied for the extension under Section 96(1) of the Companies Act, 2013, on September 2, 2026. The RoC Hyderabad granted the order on September 17, 2026. The delay is required to complete due diligence, valuation, and regulatory processes for the share-swap transaction.

Acquisition Context

The proposed deal involves an entity incorporated in the United States operating in the healthcare sector. The transaction will be structured as a share swap. Key steps remaining include determining the share-swap ratio and obtaining necessary corporate approvals. These matters are scheduled to be placed before shareholders at the extended AGM.

Regulatory Compliance

The intimation was issued pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The Board of Directors will determine the specific date, time, and venue for the meeting within the extended period. The RoC advised the company to ensure timely compliance with statutory provisions in future filings.

Blue Cloud Softech Solutions Limited has been confirmed as an Industry Partner for the IndiaAI Centre of Excellence (AI-CoE) in Bhubaneswar, Odisha. The Software Technology Parks of India (STPI) issued the confirmation following in-principle approval from the Ministry of Electronics and Information Technology (MeitY).

The company is required to execute a definitive Memorandum of Understanding (MoU) with STPI. This agreement will formalize Blue Cloud’s financial contribution of ₹4 crore towards the Centre’s development. Additionally, the firm will provide industry leadership, mentorship, and strategic support to emerging AI startups incubated at the facility.

Centre Focus Areas

The AI-CoE aims to serve as a global platform for applied AI innovation, startup incubation, and capacity building. STPI has earmarked approximately 10,000 square feet of built-up space for the Centre. Priority sectors include healthcare, governance, disaster management, education, and industrial use cases.

Guided by MeitY, the Centre will also address sectors leveraging Odisha’s geographical strengths:

  • Oceanography and coastal fisheries
  • Tidal and ocean energy
  • Women and child development

Strategic Alignment

Blue Cloud intends to integrate its existing platforms into the Centre’s ecosystem. These include BluHealth for non-invasive vitals screening, Blura SAGA and SOCEYE for public safety, and Access Genie for sovereign AI infrastructure. The company plans to make its engineering talent and customer network available to startups, facilitating the deployment of solutions across India and international markets.

Tejesh Kumar Kodali, Group Chairman, stated that the partnership aligns with Blue Cloud’s focus on building sovereign AI platforms for public safety and healthcare. Vinod Babu Bollikonda, Managing Director and Group CEO, noted that the Centre extends the company’s work under the IndiaAI Mission.

Financial Context

Blue Cloud reported consolidated revenue of ₹1,002 crore in FY26, a 26% year-on-year increase. Profit after tax rose 37% to ₹60.50 crore. In Q1FY27, revenue grew 41.9% to ₹292.53 crore, with EBITDA margin expanding to 20.4%.

What the Numbers Show

The ₹4 crore commitment for the AI-CoE represents approximately 0.4% of Blue Cloud’s FY26 consolidated revenue. This relatively small capital outlay allows the company to secure a strategic foothold in government-led AI infrastructure without significantly impacting its cash reserves or near-term liquidity. The move leverages its existing high-margin business (20.4% EBITDA margin in Q1FY27) to support ecosystem development rather than direct product sales.
