AMD Industries reported a consolidated net loss of ₹4.34 crore for the financial year ended March 31, 2026 (FY26), reversing a net profit of ₹1 crore in the prior year. The packaging manufacturer’s revenue from operations grew modestly by 2.09% to ₹2,822.45 crore, but profitability was eroded by higher material and operating costs.
The company has scheduled its 43rd Annual General Meeting (AGM) for September 30, 2026, to transact ordinary and special business, including the adoption of audited financial statements and director appointments.
Financial Performance
Despite the top-line growth, AMD Industries faced margin compression during FY26. Profit before tax swung to a loss of ₹54.47 crore from a profit of ₹12.78 crore in FY25. The decline was primarily driven by a rise in the cost of materials consumed, which increased to ₹1,870.36 crore from ₹1,717.33 crore in the previous year. Employee benefits expense also rose to ₹252.64 crore from ₹224.62 crore.
However, the company managed to reduce its finance costs by approximately 8.54% to ₹88.10 crore, down from ₹96.33 crore in FY25. Depreciation and amortization expenses also declined slightly to ₹152.81 crore from ₹159.40 crore.
| Metric | FY26 | FY25 | Change |
|---|---|---|---|
| Revenue from Operations | ₹2,822.45 crore | ₹2,764.65 crore | +2.09% |
| EBITDA | ₹186.44 crore | ₹268.51 crore | -30.56% |
| Net Profit / (Loss) | (₹40.88 crore) | ₹9.99 crore | Turn to loss |
What the Numbers Show
The divergence between operating cash flow and accounting profit is notable. While the company reported a net loss, cash generated from operations stood at ₹342.82 crore, compared to ₹402.39 crore in FY25. This indicates that despite lower accrual-based earnings due to high depreciation and material costs, the core business continues to generate substantial liquidity, aided by an increase in trade payables.
Corporate Governance and Board Changes
The AGM will seek shareholder approval for several key governance matters:
- Director Appointments: Shareholders will vote on the appointment of Mr. Subhash Chander Dua as an Independent Director for a one-year term, effective July 7, 2026. He replaces Mr. Atul Gupta, who resigned from the position effective April 6, 2026.
- Re-appointments: Ms. Shubha Singh retires by rotation and offers herself for re-appointment. Mr. Kamal Kumar seeks re-appointment as an Independent Director for a second term of two years, effective October 1, 2026.
- Dividend: The Board did not recommend any dividend for FY26, citing the financial performance of the year.
Operational Updates
AMD Industries continues to focus on the packaging sector, catering primarily to the beverage and brewery industries. The company recently acquired Hindustan Autoplast Private Limited, making it a wholly-owned subsidiary. Additionally, its related company, AMD Estates & Developers Private Limited, is nearing completion of a commercial complex project in Gurugram, which contributed ₹10.07 crore in revenue during the year.
