The Tenth Extraordinary General Meeting (EGM) was held on September 3, 2026, through video conferencing and other audio-visual means in compliance with SEBI’s REIT Master Circular dated July 11, 2025. The consolidated voting results were announced on September 4, 2026, confirming that the resolution passed with the requisite simple majority.

Voting Breakdown

A total of 510,003,626 valid votes were cast out of 829,880,869 units eligible to vote, representing a 61.46% turnout. The promoter and promoter group did not participate in the voting process.

Three unitholders representing 659,119 units abstained from voting. Maneesh Gupta served as the scrutinizer for the process, certifying that the meeting was conducted in a fair and transparent manner.

Deal Structure and Funding

The acquisition involves a 50-50 partnership with NCW Prime Offices Fund, part of the Nuvama group. The total acquisition price is set at ₹17,000 million, which represents a discount of approximately 4% to the average gross asset value computed by two independent valuers.

Brookfield India REIT will contribute ₹3,810 million from its available cash reserves. NCW Prime Offices Fund will provide an equal investment of ₹3,810 million. The remaining funding requirement will be met through approximately ₹8,808 million in property-level debt and ₹571 million in net liabilities, including tenant deposits.

Asset Profile and Yield

The target asset, referred to as the GBKC Asset, has an operating area of approximately 264,000 square feet. It is currently 89% leased and is expected to reach 100% committed occupancy by September 30, 2026. Management highlighted that the asset benefits from deep occupier demand and strong connectivity across Mumbai.

What the Numbers Show

The transaction is structured to be accretive to the trust’s distributable cash flow yield. The GBKC Asset offers a net distributable cash flow yield of 7.1%, which management noted compares favorably against the current trading yield of Brookfield India REIT. Following the acquisition, the pro forma loan-to-value ratio for the trust is expected to stand at 27.4%.
