JK Paper Ltd saw its shareholding structure shift as YPL Enterprises Private Limited increased its stake to 7.06% following the effectiveness of a composite scheme of arrangement on October 12, 2026.

The increase stems from the consolidation of shares previously held by four affiliated entities: Nav Bharat Vanijya Limited (NBVL), Accurate Finman Services Limited, Sidhivinayak Trading and Investment Limited, and J.K. Credit & Finance Limited. These entities, along with Pranav Investment (M.P.) Company Limited, were part of a scheme sanctioned by the National Company Law Tribunal, Chandigarh Bench, on September 15, 2026.

Under the scheme, NBVL’s paper trading business and investments transferred to YPL Enterprises, while Accurate, Sidhivinayak, JK Credit, and Pranav were amalgamated into YPL Enterprises. Consequently, 1,26,07,662 equity shares, representing 6.95% of JK Paper’s capital, vested in YPL Enterprises.

Shareholding consolidation details

The transaction resulted in YPL Enterprises’ holding rising from 1,93,000 shares (0.11%) to 1,28,00,662 shares (7.06%). The four seller entities now hold nil shares in the target company.

What the numbers show

J.K. Credit & Finance Limited was the primary contributor to this consolidation, transferring 1,02,05,991 shares (5.63%), which accounts for approximately 81% of the total shares acquired by YPL Enterprises in this transaction. The remaining 18.8% came from Accurate Finman Services Limited, while NBVL and Sidhivinayak contributed marginal amounts. This indicates that the scheme primarily served to centralize the substantial stake held by J.K. Credit into the single entity, YPL Enterprises.

All entities involved are constituents of the promoter group of JK Paper. The total equity share capital of the target company remains unchanged at ₹1,81,31,87,710, comprising 18,13,18,771 equity shares of ₹10 each. The disclosure was filed under Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011.
