Share sale to meet regulatory shareholding norms

The divestment aims to bring the company's public shareholding in line with applicable regulatory requirements under Rule 19(2)(b) of the Securities Contracts (Regulation) Rules, 1957 and Regulation 38 of the SEBI (LODR) Regulations, 2015.

The sale involves up to 9,885,169 equity shares. Upon completion, the aggregate shareholding of the promoters and promoter group will reduce from 87.60% to 85.60% of the total issued and paid-up equity share capital.

Both Prudential Corporation Holdings Limited and ICICI Bank Limited have undertaken not to buy any equity shares in the open market on the date of the sale.
