Pennar Industries has scheduled its 50th Annual General Meeting (AGM) for Thursday, September 24, 2026. The meeting will be conducted via Video Conferencing or Other Audio-Visual Means (VC/OAVM) starting at 11:00 am.

Meeting Agenda
The primary objective of the 50th AGM is to adopt the audited financial statements for FY26. Shareholders will consider and adopt both the standalone and consolidated financial statements along with the reports of the Board of Directors and auditors.
Director Reappointment
The meeting will also address the reappointment of Mr. Eric James Brown (DIN: 07670880). He retires by rotation at this meeting and, being eligible, has offered himself for reappointment as a Non-Executive Non-Independent Director.

He brings over 30 years of experience in management, with expertise in leadership, strategic planning, and global business development. As of March 31, 2026, he held directorships in several entities including Pennar Global Inc and Iridium Automobiles Private Limited. He attended four Board meetings during FY26 and holds no shares in the company.
Cost Auditor Remuneration
Under special business, shareholders are asked to ratify the remuneration payable to M/s. Kandikonda & Associates., Cost Accountants (Registration No. 101361). The Board approved their appointment to conduct the cost audit for the financial year ending March 31, 2027. The proposed remuneration is ₹1,00,000 per annum, inclusive of all taxes, duties, and out-of-pocket expenses.
Voting and Participation Details
In compliance with MCA General Circular No. 09/2024 and SEBI Circular No. SEBI/HO/CFD/CFD-POD-2/P/CIR/2024/133, physical attendance is dispensed with. The facility for appointment of proxies is not available for this e-AGM.
Shareholders holding shares in demat mode must register their email addresses with their Depository Participants. Those holding physical shares must submit Form ISR1 to the Registrar and Share Transfer Agent, KFin Technologies Limited.
Remote e-voting will be facilitated by KFin Technologies Limited. The voting window opens on Monday, September 21, 2026, at 9:00 am and closes on Wednesday, September 23, 2026, at 5:00 pm. Once a vote is cast, it cannot be changed. Mr. Subhash Kishan Kandrapu, Practicing Company Secretary, has been appointed as the Scrutinizer to oversee the voting process.
The cut-off date for remote e-voting is fixed on Thursday, September 17, 2026. Members attending the meeting who have not cast their vote by remote e-voting shall be able to exercise their right at the meeting.
Regulatory Compliance
The process adheres to the Companies Act, 2013, and SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.
