Mother Nutri Foods appointed M/s. M. I. Prajapati & Associates LLP as its Cost Auditor for the financial year 2026-27. The Board of Directors also re-appointed M/s. Yati Mittal & Associates as Secretarial Auditor during its meeting held on August 28, 2026.

The appointments were made based on the recommendation of the Audit Committee. The company also issued the notice for its 3rd Annual General Meeting along with the Directors Report and its annexures for the year ended March 31, 2026.

Auditor Appointments

The Board approved the following key regulatory appointments effective from August 28, 2026:

M/s. M. I. Prajapati & Associates LLP is a consultancy firm based in Ahmedabad with a legacy dating back to 2012. The firm was reconstituted as a Limited Liability Partnership in 2026. It provides services including Cost Audit, GST, Income Tax, and Virtual CFO Services.

M/s. Yati Mittal & Associates is a Peer Reviewed firm of Company Secretaries. Led by CS Yati Mittal, the firm offers corporate law, secretarial compliance, and governance advisory services.

AGM and E-voting

The Board also appointed Mr. Vishal Thawani of M/s. VTSN and Associates LLP as the Scrutinizer for the e-voting process to be conducted at the 3rd Annual General Meeting. The meeting commenced at 11:00 am and concluded at 11:35 am.

Mother Nutri Foods Limited has appointed Ms. Khushboo Yadav as its Company Secretary and Compliance Officer, effective June 11, 2026. The appointment follows the resignation of Ms. Richa Kachhawaha from the same position, effective from the close of business hours on June 10, 2026. The Board of Directors approved these changes based on the recommendation of the Nomination and Remuneration Committee pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015.

Ms. Kachhawaha resigned to pursue career opportunities outside the company. She tendered her resignation effective June 10, 2026, and requested the Board to make necessary filings with the concerned authorities.

Ms. Yadav is a qualified Company Secretary and an Associate Member of the Institute of Company Secretaries of India. She holds a Bachelor's degree in Commerce from Veer Narmad South Gujarat University. During her articleship, she gained exposure to corporate and regulatory compliance matters, including listing compliances, Companies Act compliances, SEBI Regulations, and ROC filings. She also has practical experience working with a listed company, handling secretarial, regulatory, and compliance-related functions.
