Kingfa Science & Technology has scheduled its 42nd Annual General Meeting for September 28, 2026, to approve a final dividend of ₹20 per equity share for FY26. The meeting will also see significant leadership changes, including the appointment of a new Chairman & Managing Director.
The company will hold the AGM via Video Conferencing or Other Audio-Visual Means (OAVM). Shareholders holding shares as on the cut-off date of September 21, 2026, are eligible to vote through remote e-voting between September 25 and September 27, 2026.
Leadership Appointments
The special business agenda focuses on restructuring the top management team. The Board seeks shareholder approval for the following appointments:
- Mr. Wang Dazhong as Chairman & Managing Director for a three-year term from August 15, 2026, to August 14, 2029. His annual remuneration is set at ₹1 crore, comprising salary, allowances, and performance-linked incentives.
- Mr. Sethuraman Shanmugasundaram as Whole-time Director designated as Chief Operating Officer for a three-year term starting August 15, 2026. His annual remuneration is fixed at ₹60 lakh.
- Ms. Apurva Pradeep Joshi as Non-Executive Independent Director for a five-year term until August 14, 2031.
Additionally, Mr. Sun Yajie retires by rotation and offers himself for re-appointment as a director.
Dividend and Remuneration Details
The proposed dividend of ₹20 per share represents a payout of 200% of the face value. The record date for determining dividend eligibility is Monday, September 21, 2026. Payments will be made electronically on or before October 28, 2026, subject to applicable tax deductions at source.
The Board has also recommended paying a commission of ₹8 lakh per year per Independent Director, in addition to sitting fees. This remuneration structure applies even in years with inadequate profits, subject to Companies Act limits.
What the Numbers Show
The proposed remuneration for the incoming Chairman & Managing Director (₹1 crore) is significantly higher than his last drawn annual remuneration of ₹23.04 lakh in FY25-26. Similarly, the new Chief Operating Officer’s package of ₹60 lakh nearly doubles his previous draw of ₹34.99 lakh. This sharp increase in executive compensation aligns with the formalization of their roles from additional directors to permanent key managerial personnel, signaling a push for stabilized long-term leadership.
