Innocorp Limited has announced the closure of its trading window for designated persons and their immediate relatives. The restriction applies from October 1, 2026, until the expiry of 48 hours after the declaration of financial results for the quarter ended September 30, 2026.

This action is taken pursuant to the SEBI (Prohibition of Insider Trading) Regulations and the company's internal policy on disclosure and procedures for preventing insider trading. The measure ensures compliance during the sensitive period preceding the release of quarterly earnings.

Compliance details

The trading window closure is mandated to prevent any potential misuse of unpublished price-sensitive information (UPSI) related to the company's performance for Q2FY27. Designated persons are prohibited from dealing in the securities of the company during this blackout period.

The company’s board has proposed a significant restructuring of its capital base to address accumulated losses amounting to ₹12.42 crore, which have eroded its net worth over the years.

Financial Performance

For the financial year ended March 31, 2026, Innocorp Limited reported a total income of ₹21.25 lakh compared to nil income in the previous year. The company narrowed its net loss to ₹0.16 lakh from ₹37.64 lakh in FY 2024-25. The standalone net worth stood at ₹227.77 lakh as of March 31, 2026, down from ₹231.56 lakh in the prior year. The board has not recommended any dividend for the year.

Scheme of Reduction of Share Capital

To rationalize its capital structure and restore its financial position, the company has proposed a reduction of its paid-up equity share capital by 75%. This involves cancelling 59,56,050 fully paid-up equity shares of ₹10 each, aggregating ₹5.95 crore. Additionally, the entire balance of ₹6.47 crore standing to the credit of the Securities Premium Account will be extinguished. The aggregate reduction of ₹12.42 crore will be utilized to write off the accumulated losses of the company.

The reduction will be effected on a proportionate basis, meaning for every four shares held, shareholders will be entitled to one share. The scheme is subject to approval by shareholders via a special resolution and confirmation by the National Company Law Tribunal (NCLT). The company stated that the restructuring does not involve any outflow of funds or compromise with creditors.

Board and Auditor Appointments

The Annual General Meeting (AGM) is scheduled for August 08, 2026. The board has proposed the re-appointment of M/s. M N Rao & Associates as statutory auditors for a second term of five years. Additionally, the re-appointment of independent directors Mr. Neralla Seshagiri Rao and Mr. Alapati Venkata Narasimha Rao for a second term of five years has been proposed. Mrs. Lakshmi VVV Garapati, Managing Director, retires by rotation at the ensuing AGM and is eligible for re-appointment.
